1. Definitions and Interpretation
In these Terms of Service, the following definitions apply:
Means QuestFeed Pty Ltd (ABN 58 632 013 855), an Australian Private Company registered in Queensland. AgDSS is a product name and brand of QuestFeed Pty Ltd — it is not a separately registered business or trademark. All contractual obligations under these Terms are between the User and QuestFeed Pty Ltd.
Means the AgDSS application at app.agdss.com, the marketing website at agdss.com, and all associated APIs, infrastructure, and services.
Means all agricultural intelligence services provided through the Platform, including land capability analysis, soil and water intelligence, risk scoring, AI-powered agricultural Q&A, farm management reports, compliance checking, and property monitoring.
Means any individual or entity accessing or using the Platform or Services, whether on a free or paid subscription.
Means an agricultural report (such as a Landholder Report, Farmer Report, Rural Buyer Report, Agribusiness Report, or other persona-specific report), land capability assessment, compliance risk assessment, or other analysis output generated by the Platform for a specific property, paddock, or address.

3. Acceptance of Terms
By accessing or using the Platform, you acknowledge that you:
- Have read, understood, and agree to be bound by these Terms of Service
- Have read and agree to our Privacy Policy
- Are at least 18 years of age or have legal authority to enter these Terms on behalf of an organization
- Will use the Platform only for lawful purposes and in accordance with these Terms
- Have the authority to bind the organization you represent (if applicable)
Changes to Terms: We may modify these Terms at any time. Material changes will be communicated via email to registered users. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.
4. Authorized Use & Prohibited Conduct
You must NOT:
- Attempt to gain unauthorized access to the Platform, its infrastructure, or other users' data
- Use the Platform to facilitate fraud or unauthorized activities
- Attempt to reverse engineer, decompile, or extract our proprietary agricultural analysis technology, scoring algorithms, or AI models
- Use automated tools to scrape, crawl, or extract data from the Platform beyond normal API usage
- Resell, sublicense, or redistribute our Services or Reports without written authorization
- Misrepresent AgDSS Reports as formal agricultural assessments, land capability certifications, or statutory compliance certificates
- Use the Platform in violation of any applicable local, state, national, or international law
5. Subscriptions & Payment
Service Tiers
AgDSS offers subscription tiers with varying access to reports, assessments, monitoring, and features. Certain features may be available on a pay-per-report or pay-per-assessment basis. Current tiers, inclusions, and prices are set out on our Pricing page, which forms part of these Terms by reference.
Billing
Paid subscriptions are billed monthly or annually in advance via Stripe. All prices are in Australian Dollars (AUD) and exclude GST unless otherwise stated. You authorize us to charge your nominated payment method on a recurring basis until you cancel. Reports and pay-per-use purchases are billed at the time of purchase.
Cancellation
You may cancel your subscription at any time through your account settings or the Stripe customer portal. Cancellation takes effect at the end of the current billing period. You will retain access until the end of that period.
No Refunds
All fees — including subscriptions, report purchases, assessment purchases, top-ups, and any other charges — are non-refundable, whether used or unused. No pro-rata refunds are provided on cancellation, non-use, or account suspension. This clause does not affect any consumer guarantees or remedies that cannot be excluded under the Australian Consumer Law.
Price Changes
We may change subscription prices or pay-per-use fees with 30 days' advance notice to registered users. Changes take effect at the start of your next billing period for subscriptions, or at the time of purchase for pay-per-use fees. If you do not agree to a price change, you may cancel before it takes effect.
Taxes
You are responsible for any applicable taxes, duties, or levies (other than taxes on our net income). If GST or equivalent tax applies, it will be added to the listed price and shown on your invoice.
Failed Payments
If a payment fails, we may suspend or downgrade access to paid features until payment is received. You remain liable for unpaid fees. Repeated failure to pay may result in termination of your account.
6. Report Accuracy and Limitations
Accuracy Notice
While we use advanced agricultural analysis technology, risk scoring, spatial data, and AI-powered analysis to provide comprehensive land and property intelligence, our Reports are informational and do not constitute professional agronomic, veterinary, legal, or land management advice. Always consult a qualified agronomist, agricultural consultant, or rural lawyer before making critical operational, investment, or compliance decisions based on our Reports.
Our Reports are subject to the following limitations:
- — Reports are based on the agricultural, spatial, and regulatory data currently loaded in our system; data and obligations may have changed since our last update
- — Spatial layers (soil capability, rainfall, vegetation, water access, hazard overlays) are sourced from Australian government datasets and may not reflect the most recent gazettes, revisions, or on-the-ground conditions
- — Suitability and yield indicators are probabilistic and should be interpreted as guidance, not guaranteed agricultural outcomes
- — AI-powered Q&A answers are based on loaded regulations and data but may occasionally misinterpret context or miss nuances that a qualified practitioner would catch
- — Coverage is not uniform — not all soil, water, vegetation, and biosecurity layers are loaded for all regions, and satellite-derived data has known resolution and temporal limits
- — Our platform does not replace a formal land capability assessment, property management plan, environmental impact statement, or biosecurity audit by a qualified practitioner
7. Intellectual Property
The Platform and its original content, features, and functionality are owned by QuestFeed Pty Ltd and protected by international intellectual property laws. This includes:
- — The AgDSS name, logo, and branding
- — Platform design, layout, and user interface
- — Agricultural and land capability analysis methodology, data structures, and scoring algorithms
- — AI models and agricultural Q&A technology
- — Report formats, risk scoring frameworks, and analysis methodology
Report License
Reports generated by AgDSS are licensed to you for your internal business purposes. You may share Reports with your advisers, consultants, investors, and project team members. You may not resell, publicly redistribute, or use our Reports or methodology to create competing services without prior written consent.
8. Disclaimers and Limitations
Disclaimer of Warranties
To the maximum extent permitted by law, the Platform and Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to:
- — Implied warranties of merchantability or fitness for a particular purpose
- — Warranties that the Platform will be uninterrupted, error-free, or free of harmful components
- — Warranties regarding the accuracy, completeness, or currency of agricultural, soil, water, climate, or regulatory data
- — Warranties that our Reports will identify all applicable obligations or predict agricultural, operational, or regulatory outcomes
Limitation of Liability
To the maximum extent permitted by Australian law:
- — We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill
- — Our total aggregate liability for all claims arising from or relating to the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim
- — We are not liable for crop loss, yield shortfall, biosecurity action, water licence decisions, regulatory penalties, or operational losses arising from actions taken or not taken based on our Reports
- — We are not liable for damages arising from changes to regulations, spatial layers, or data sources that occur after our data was last updated
Consumer Guarantees
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.
9. Additional Terms
a. Confidentiality
We treat all Reports, query history, and account data as confidential. We will not disclose your data to third parties except: (i) with your explicit consent, (ii) to our service providers under confidentiality obligations, (iii) when required by law or valid legal process, or (iv) in anonymized, aggregated form that cannot be attributed to you.
b. Indemnification
You agree to indemnify, defend, and hold harmless QuestFeed Pty Ltd, its officers, directors, and employees from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (i) your violation of these Terms, (ii) your misrepresentation of AgDSS Reports as formal agricultural assessments or land capability certifications, or (iii) your use of the Services in violation of applicable law.
c. Termination
We may suspend or terminate your access immediately and without prior notice if you: breach these Terms, engage in fraudulent or unlawful activity, or abuse the Platform. Upon termination, your right to use the Platform ceases immediately. We may retain your data as required by law or our data retention policy.
d. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, war, government actions, internet outages, or third-party service failures.
e. Governing Law
These Terms are governed by and construed in accordance with the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia for any disputes arising from these Terms.
f. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AgDSS regarding the Services.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
